DigiBooBoo End User License Agreement

Subject to this Agreement and any additional applicable written agreement, Digi Med Dev grants authorized users a limited, revocable, non-exclusive, non-transferable license to access and use DigiBooBoo for approved purposes such as:

• Product evaluation
• Pilot testing
• Research
• Training
• Demonstration
• Workflow evaluation
• Other internal or authorized activities approved by Digi Med Dev

No ownership interest in DigiBooBoo technology is transferred to the user.

Unless expressly authorized by Digi Med Dev or permitted by applicable law, you may not:

• Modify, decompile, disassemble, or reverse engineer DigiBooBoo software or firmware
• Attempt to extract source code, algorithms, security credentials, or proprietary technical information
• Copy, distribute, sublicense, sell, rent, lease, or transfer DigiBooBoo software or access
• Install unauthorized software or firmware
• Circumvent security or access controls
• Alter device identifiers
• Interfere with Digi Med Dev networks, systems, devices, or Services
• Use DigiBooBoo for an unlawful or unauthorized purpose

DigiBooBoo technology, including applicable hardware designs, electronics, firmware, software, algorithms, dashboards, user interfaces, documentation, trademarks, branding, and related intellectual property, is owned by Digi Med Dev Inc. or its licensors.

Except for the limited rights expressly provided by this Agreement, no rights or licenses are granted.

DigiBooBoo is currently under development and has not been cleared or approved by the U.S. Food and Drug Administration for commercial clinical use.

Unless otherwise expressly authorized under an applicable regulatory, research, or clinical framework, DigiBooBoo is provided for development, evaluation, testing, demonstration, research, training, or workflow-exploration purposes.

DigiBooBoo must not be used as the sole basis for diagnosis, treatment decisions, or critical clinical intervention. Qualified healthcare professionals remain responsible for clinical evaluation, diagnosis, treatment, and patient-care decisions.

The regulatory status, intended use, labeling, and permitted use of DigiBooBoo may change as development and regulatory activities progress.

Use of DigiBooBoo is subject to the Digi Med Dev Privacy Policy and any applicable product-specific, pilot, research, clinical, or data-processing agreement.

Digi Med Dev may receive business, account, technical, administrative, device, connectivity, diagnostic, sensor, and telemetry information associated with operation and support of DigiBooBoo.

DigiBooBoo is currently designed so that device telemetry can be associated with a device identifier without requiring directly identifying patient information within the telemetry transmitted to Digi Med Dev.

Unless a specific authorized deployment and written agreement provides otherwise, users must not intentionally upload, enter, transmit, or associate directly identifying patient information, protected health information, or other unauthorized sensitive clinical information with Digi Med Dev systems.

If you believe protected health information or other patient-identifying information has been transmitted to Digi Med Dev contrary to the applicable deployment or agreement, promptly notify Digi Med Dev at info@digibooboo.com.

Specific clinical, research, or commercial deployments may be governed by additional privacy, security, data-use, healthcare, or regulatory requirements.

Authorized users agree to:

• Follow provided product instructions and documentation
• Use DigiBooBoo only for authorized purposes
• Maintain appropriate security over credentials and accounts
• Protect devices from unauthorized use
• Promptly report suspected security, performance, or device issues
• Follow applicable organizational policies
• Comply with laws and requirements applicable to their own activities
• Follow applicable research, clinical, institutional, and ethical requirements

Where physical DigiBooBoo devices are supplied by Digi Med Dev for evaluation, pilot, research, demonstration, or other temporary use:

• Devices remain the property of Digi Med Dev unless a written agreement states otherwise
• Devices must be used and stored with reasonable care
• Device identifiers may not be altered or removed
• Devices must be returned when required by the applicable agreement or requested by Digi Med Dev
• Lost or damaged devices may be subject to replacement obligations established by an applicable agreement

A separate Device Loan Agreement or other written agreement may govern physical device obligations and will control where its terms differ from this section.

DigiBooBoo may rely on firmware updates, software updates, telecommunications networks, cloud infrastructure, third-party services, wireless coverage, internet availability, or other systems outside Digi Med Dev's direct control.

Functionality, connectivity, features, and performance may change during product development and evaluation. Digi Med Dev may deploy updates or modify Services when necessary for functionality, security, testing, compliance, or continued development.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVELOPMENT-STAGE OR EVALUATION VERSIONS OF DIGIBOOBOO ARE PROVIDED "AS IS" AND "AS AVAILABLE."

DIGI MED DEV DOES NOT WARRANT THAT DIGIBOOBOO WILL:

• Operate without interruption
• Be free from errors or defects
• Produce results suitable for every environment or use
• Satisfy all clinical, technical, or operational requirements

No statement on a website, demonstration, presentation, or development material should be interpreted as altering the product's current regulatory status.

To the maximum extent permitted by applicable law and any controlling written agreement, Digi Med Dev is not liable for indirect, incidental, consequential, exemplary, special, or punitive damages arising from development-stage or evaluation use.

Digi Med Dev is not responsible for independent clinical decisions made by healthcare professionals or organizations. Limitations established by a separate signed pilot, research, evaluation, purchase, or commercial agreement will control where applicable.

Nothing in this Agreement excludes liability that cannot legally be excluded.

Digi Med Dev may suspend or terminate access if a user:

• Violates this Agreement
• Misuses the product or Services
• Attempts unauthorized modifications or access
• Creates a material security risk
• Uses DigiBooBoo beyond an authorized program or scope
• Fails to comply with a controlling written agreement

Upon termination, users must discontinue unauthorized use, and Digi Med Dev may disable accounts or require return of Company-owned devices. Provisions concerning intellectual property, confidentiality, disclaimers, liability, and other provisions that by their nature should survive termination will remain effective as applicable.

A pilot, evaluation, research, clinical, purchase, device-loan, data-processing, business associate, confidentiality, or other signed agreement may supplement this EULA.

Where a signed agreement conflicts with this EULA, the signed agreement will control with respect to the subject matter it specifically governs.

Unless a controlling written agreement provides otherwise, this EULA is governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Digi Med Dev may update this EULA as DigiBooBoo, its regulatory status, or its authorized uses evolve. Material changes affecting an active contractual deployment may also be handled according to the applicable written agreement.
