1. Agreement to Terms
These Terms of Use ("Terms") govern your access to and use of websites, digital services, programs, and other general Services operated by Digi Med Dev Inc. ("Digi Med Dev," "DMD," "we," "our," or "the Company").
Certain Digi Med Dev products, pilot programs, evaluation programs, devices, applications, or services may be governed by additional agreements. DigiBooBoo is additionally subject to the DigiBooBoo End User License Agreement where applicable.
By accessing or using Services governed by these Terms, you agree to these Terms. If you do not agree, you should discontinue use of the applicable Service.
2. Privacy
Our collection and use of personal information are described in the Digi Med Dev Privacy Policy.
3. Intellectual Property
Unless otherwise stated, Digi Med Dev owns or licenses the content, designs, trademarks, logos, graphics, software, documentation, technology, and other materials made available through its Services. No ownership rights are transferred to users by accessing the Services.
You may not reproduce, distribute, modify, republish, reverse engineer, exploit, or create derivative works from protected Digi Med Dev materials except as permitted by law or expressly authorized in writing by Digi Med Dev.

Participation may be subject to additional written terms, eligibility requirements, confidentiality obligations, device agreements, clinical requirements, research requirements, or other restrictions.
Where additional agreements conflict with these general Terms, the more specific agreement will control with respect to the subject matter it governs.
7. Fees and Payments
Certain Services may require payment. If fees apply, pricing, payment requirements, applicable taxes, refund terms, and related conditions may be presented in connection with the applicable Service, order, program, or agreement.
8. User Feedback and Contributions
If you voluntarily provide product feedback, suggestions, comments, or other non-confidential materials to Digi Med Dev, you grant Digi Med Dev a non-exclusive, royalty-free right to use those materials for purposes such as product development, research, operational improvement, and related business activities.
Do not provide confidential information, protected health information, identifiable patient data, or information you are not authorized to disclose through general feedback or public-facing channels. Separate agreements may govern information provided through formal research, clinical, development, or evaluation programs.
9. Third-Party Content and Services
Digi Med Dev Services may contain links to or integrate with third-party services. Digi Med Dev does not control third-party services and is not responsible for their availability, content, security, or privacy practices.
10. Electronic Communications
When you contact Digi Med Dev, create an account, enroll in a program, or use certain Services, you may receive communications reasonably necessary for that interaction. Marketing communications, where offered, will be handled according to applicable law and the Digi Med Dev Privacy Policy.
11. Product and Medical Information
Information made available through Digi Med Dev websites is provided for general informational, technical, business, research, or educational purposes unless expressly stated otherwise.
Website content is not medical advice and is not a substitute for evaluation, diagnosis, treatment, or judgment by a qualified healthcare professional.
The regulatory status and permitted uses of individual Digi Med Dev products may differ. Product-specific documentation and agreements control the authorized use of those products.
12. Availability and Modification of Services
Digi Med Dev may modify, suspend, discontinue, update, or restrict access to Services or features as products and technologies evolve. Development-stage or evaluation Services may change substantially and may experience interruptions.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GENERAL DIGI MED DEV WEBSITES AND SERVICES GOVERNED BY THESE TERMS ARE PROVIDED "AS IS" AND "AS AVAILABLE."
DIGI MED DEV DISCLAIMS WARRANTIES TO THE EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Specific products or contractual engagements may be subject to separate warranty terms.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Digi Med Dev will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of general Services governed by these Terms.
Any additional liability provisions contained in a product-specific, pilot, research, purchase, or other written agreement will govern the subject matter of that agreement.
15. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Digi Med Dev harmless from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the Services, violation of these Terms, or infringement of third-party rights.
16. Termination
Digi Med Dev may suspend or terminate access to Services where reasonably necessary because of:
- Violation of these Terms
- Security concerns
- Unauthorized activity
- Misuse of Services
- Legal or regulatory requirements
- Discontinuation of the relevant Service
Product-specific agreements may contain separate termination requirements.
17. Governing Law
Unless another written agreement provides otherwise, these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
18. Dispute Resolution
Before initiating formal proceedings concerning these Terms, users are encouraged to contact Digi Med Dev so the parties may attempt to resolve the matter informally.
Any binding arbitration requirement or other dispute-resolution mechanism should be governed by the applicable agreement and applicable law.
19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
20. Changes to These Terms
Digi Med Dev may update these Terms as its Services, operations, and legal obligations evolve. The current version and its effective date will be available through the Digi Med Dev Legal & Privacy center.
